1. Parties to this Agreement

This Bike Rental Vendor Partner Agreement ("Agreement") is entered into between:

Ridepe and the Vendor shall hereinafter be individually referred to as a "Party" and collectively as the "Parties".

2. Definitions

  • "Platform" means the Ridepe website (ridepe.co) and associated mobile application.
  • "Booking" means a confirmed reservation made by a User through the Platform for rental of the Vendor's vehicle.
  • "User" means any customer who makes a booking through the Platform.
  • "Rental Amount" means the total amount paid by the User for a booking, excluding platform fees and applicable taxes.
  • "Commission" means Ridepe's share of the Rental Amount as specified in this Agreement.
  • "Net Payout" means the Rental Amount less Ridepe's Commission, applicable GST on Commission, and any applicable deductions.
  • "Listing" means the Vendor's vehicle(s) listed on the Platform.

3. Scope of Agreement

Ridepe operates a technology marketplace platform that connects Users seeking bike rental services with independent Rental Vendors. Under this Agreement, Ridepe shall list the Vendor's vehicles on the Platform and facilitate bookings on behalf of the Vendor. Ridepe acts solely as a technology facilitator and aggregator and does not own, operate, or maintain the Vendor's vehicles.

4. Vendor Onboarding and Listing

4.1 Registration and Background Verification

The Vendor shall register on the Ridepe Partner Portal and provide all information required for listing. Ridepe reserves the right to conduct background verification of the Vendor, including verification of vehicle RC, insurance certificates, and identity documents, before approving the Vendor's listing. Ridepe may reject any application without assigning reasons.

4.2 Documents Required

The Vendor must submit the following documents at the time of onboarding and keep them current throughout the term of this Agreement:

  • Vehicle Registration Certificate (RC) for each listed vehicle
  • Valid Third-Party Insurance certificate for each listed vehicle
  • Fitness Certificate (where applicable under the Motor Vehicles Act, 1988)
  • Valid PUC (Pollution Under Control) certificate for each listed vehicle
  • PAN Card of the business/individual
  • GST Registration Certificate (if applicable)
  • Bank account details for payout (cancelled cheque or bank statement)
  • Any other document as may be required by Ridepe from time to time

4.3 Listing Accuracy

The Vendor is solely responsible for ensuring that all information provided for each listing is accurate, current, and not misleading. Ridepe reserves the right to remove or suspend any listing found to be inaccurate or in breach of Platform policies.

5. Commission and Payout

5.1 Commission Rate

Ridepe shall charge a platform commission of 15% (fifteen percent) of the Rental Amount for each confirmed and completed booking facilitated through the Platform. This commission is exclusive of Goods and Services Tax (GST). Applicable GST on Ridepe's commission shall be charged separately as per prevailing law and shall be borne by the Vendor.

5.2 Payout Schedule — Next Day Settlement

Ridepe shall process the Net Payout to the Vendor's registered bank account on the next working day following the completion of each booking. "Working day" means any day other than Saturday, Sunday, or a bank holiday. GST on commission shall be deducted from the payout at source.

5.3 Deductions from Payout

Ridepe reserves the right to deduct from the Net Payout any of the following:

  • Refunds issued to Users due to Vendor-initiated cancellations or vehicle unavailability
  • Penalties levied on the Vendor for violation of this Agreement
  • Amounts disputed by Users that are pending investigation
  • GST on Ridepe's commission
  • Any other taxes, levies, or charges applicable under law

5.4 Payout on Cancellations

Where a booking is cancelled by the User, the Vendor shall receive the applicable cancellation charge (as per Ridepe's Cancellation & Refund Policy) less Ridepe's commission. Where a booking is cancelled by the Vendor or due to Vendor's failure to provide the vehicle, no payout shall be made and any amount received from the User shall be fully refunded.

5.5 GST and Tax Compliance

  • GST on Ridepe's platform commission (15%) shall be charged separately and deducted from the Vendor's Net Payout.
  • The Vendor shall be solely responsible for their own GST registration, GST filing, and compliance arising from rental income earned through the Platform.
  • The Vendor shall be solely responsible for income tax and all other statutory compliance obligations. Ridepe shall not be responsible for any tax liability of the Vendor.

5.6 Chargeback Protection

Where a User initiates a chargeback, payment reversal, or dispute with their bank or payment provider in respect of a completed booking, Ridepe reserves the right to withhold the relevant Net Payout to the Vendor pending resolution of the investigation. Once resolved in favour of Ridepe and the Vendor, the withheld amount shall be released within 3 working days.

6. Vendor Obligations

6.1 Minimum Service Standards

  • The Vendor shall ensure that all listed vehicles are in roadworthy condition, properly serviced, and fit for rental at all times.
  • The Vendor shall provide clean, roadworthy, and fuel-ready vehicles to every User at the time of handover. Vehicles with low fuel (below sufficient to reach the nearest fuel station), excessive dirt, or mechanical defects shall not be handed over.
  • The Vendor shall maintain valid third-party insurance for all listed vehicles throughout the term of this Agreement.
  • In the event of insurance lapse, expiry, or cancellation for any listed vehicle, the Vendor must immediately notify Ridepe and the relevant listing shall be automatically suspended until valid insurance is reinstated and proof submitted to Ridepe. Any bookings accepted during a period of insurance lapse shall be the sole liability of the Vendor.
  • The Vendor shall ensure valid PUC certificates for all vehicles where applicable.
  • The Vendor shall conduct a pre-rental inspection and document any existing damage (with photographs) before handing over the vehicle to the User.

6.2 Vendor Cancellation Penalty

Confirmed bookings must be honoured by the Vendor. Where a Vendor cancels or fails to fulfil a confirmed booking, the following penalty structure shall apply:

  • 1st cancellation: Written warning issued by Ridepe
  • 2nd cancellation: Penalty of ₹500 (Rupees Five Hundred) deducted from next payout
  • 3rd cancellation: Penalty of ₹1,000 (Rupees One Thousand) deducted from next payout + temporary suspension of listing
  • Repeated cancellations beyond the 3rd instance may result in permanent termination of this Agreement

A cancellation shall be deemed Vendor-initiated where the Vendor fails to provide the vehicle, marks a booking as cancelled without User consent, or is unreachable at the time of handover.

6.3 Vendor Escalation Matrix

6.4 User Handover

  • The Vendor shall verify the User's original identity document and driving licence before handing over the vehicle.
  • The Vendor shall require the User to provide a valid emergency contact number before handover.
  • The Vendor shall provide at least one helmet with each vehicle rental.

6.5 Security Deposit

The security deposit shall be collected by the Vendor directly from the User at the time of vehicle handover, unless Ridepe has explicitly agreed in writing to collect the deposit through the Platform on the Vendor's behalf. In all cases, the security deposit remains the property of the User and must be refunded in full by the Vendor immediately upon satisfactory return of the vehicle, subject to any damage deductions.

6.6 Availability Management

The Vendor shall keep their vehicle availability calendar updated on the Platform in real time. Failure to honour a confirmed booking due to incorrect availability shall be treated as a Vendor-initiated cancellation and shall attract the penalties under Section 6.2.

6.7 Vendor Rating

Ridepe may display User ratings and reviews for each Vendor listing on the Platform. Where a Vendor's average rating falls below the minimum threshold set by Ridepe (as communicated from time to time), Ridepe reserves the right to temporarily suspend or permanently delist the Vendor's listings.

6.8 No Exclusivity

This Agreement does not create any exclusivity obligation on the Vendor. The Vendor is free to list their vehicles on other platforms simultaneously. However, bookings received through the Ridepe Platform must be fulfilled as per the terms of this Agreement and must not be redirected to other platforms.

6.9 Compliance with Laws

The Vendor shall at all times comply with the Motor Vehicles Act, 1988, applicable RTO regulations, and any other applicable central or state legislation in relation to their vehicles and rental operations.

6.10 GPS and Tracking

Where a GPS tracker or telematics device has been installed by the Vendor or is required by Ridepe, the Vendor shall ensure it remains functional and shall promptly notify Ridepe of any malfunction.

7. Ridepe's Obligations

  • List the Vendor's vehicles on the Platform and facilitate bookings.
  • Collect rental payments from Users and process Net Payouts to the Vendor as per Section 5.
  • Provide access to the Ridepe Partner Portal for managing listings, bookings, and payouts.
  • Handle User-facing customer support for Platform-related queries.
  • Notify the Vendor of confirmed bookings promptly via the Partner Portal, SMS, or email.
  • Not make any changes to the Vendor's pricing or listings without prior notice.

8. Liability and Indemnity

8.1 Vendor's Primary Liability

The Vendor is solely and primarily responsible for the roadworthiness, safety, insurance, and condition of the rented vehicle. The Vendor shall be liable for any loss, injury, or damage arising from a defect in the vehicle, inadequate maintenance, or non-compliance with applicable law.

8.2 Ridepe's Limited Liability

Ridepe's role is limited to that of a technology platform and marketplace facilitator. Ridepe shall not be liable to the Vendor or any third party for any loss, damage, injury, or legal consequence arising from the use of the Vendor's vehicle by a User. Ridepe's maximum financial liability to the Vendor under this Agreement shall not exceed the Net Payout due for the specific booking giving rise to the claim.

8.3 Insurance Claims

In the event of an accident involving the Vendor's vehicle, the Vendor shall be responsible for initiating the insurance claim with their insurer. Ridepe shall provide reasonable assistance (such as sharing booking records or User contact details) but shall bear no financial liability for uncovered insurance amounts or claim rejections. The insurance deductible or excess shall be borne by the User as per the Cancellation & Refund Policy.

8.4 Indemnity by Vendor

The Vendor shall indemnify, defend, and hold harmless Ridepe, its directors, employees, and agents from any claims, damages, penalties, or legal costs arising from: (a) any accident, injury, or property damage involving the Vendor's vehicle; (b) the Vendor's failure to maintain valid insurance or comply with applicable law; (c) any misrepresentation in the Vendor's listing; or (d) any dispute between the Vendor and a User.

9. Vehicle Damage and Disputes

  • In the event of vehicle damage during a rental, the Vendor shall document the damage with photographs at the time of drop-off and submit a damage report to Ridepe within 24 hours.
  • Damage charges shall be assessed by the Vendor and reviewed by Ridepe. Ridepe's decision shall be reasonable and based on available evidence.
  • Where the User's security deposit is insufficient to cover the damage, the Vendor shall pursue recovery directly from the User. Ridepe shall provide reasonable assistance but shall not be financially liable for uncovered damage costs.
  • In the event of theft or total loss of the vehicle, the Vendor shall file an FIR immediately and notify Ridepe within 24 hours.

10. Prohibited Conduct

The Vendor shall not:

  • List vehicles that are unroadworthy, uninsured, or do not have valid RC/fitness certificates
  • Accept bookings directly from Users who first contacted the Vendor through the Platform, bypassing Ridepe's booking system
  • Charge Users amounts not disclosed in the Listing or approved by Ridepe
  • Discriminate against Users on any protected basis
  • Provide vehicles to Users who do not hold a valid driving licence
  • Share User personal data obtained through the Platform with any third party

11. Confidentiality and Data

The Vendor agrees to keep confidential all User data received through the Platform and to use such data solely for the purpose of fulfilling the specific booking. All data handling shall comply with the Digital Personal Data Protection Act, 2023.

12. Intellectual Property

The Vendor grants Ridepe a non-exclusive, royalty-free licence to use the Vendor's business name, logo, vehicle photographs, and listing information on the Platform for the purpose of facilitating bookings. All intellectual property of Ridepe remains the exclusive property of Ridepe.

13. Term and Termination

13.1 Term

This Agreement shall commence on the date of signing and shall continue until terminated by either Party in accordance with this Section.

13.2 Termination by Notice

Either Party may terminate this Agreement by giving 30 (thirty) days' written notice to the other Party without assigning any reason.

13.3 Immediate Termination

Ridepe may terminate this Agreement with immediate effect, without notice or liability, if the Vendor:

  • Provides unroadworthy or uninsured vehicles to Users
  • Engages in fraudulent or illegal conduct
  • Repeatedly fails to honour confirmed bookings
  • Breaches any material provision of this Agreement
  • Is subject to insolvency, winding up, or regulatory action

13.4 Effect of Termination

Upon termination, all confirmed bookings already made through the Platform must be honoured by the Vendor unless otherwise agreed. Pending payouts for completed bookings shall be settled within 7 working days, subject to any deductions.

14. Dispute Resolution and Governing Law

This Agreement is governed by the laws of India. Any dispute shall first be resolved through good-faith negotiation within 15 days of written notice. If unresolved, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat at Varanasi, Uttar Pradesh.

15. General Provisions

  • Electronic Signature: This Agreement may be executed electronically. An electronic signature, digital acceptance, or online click-through acceptance by the Vendor shall be deemed a valid and binding signature under the Information Technology Act, 2000.
  • Entire Agreement: This Agreement constitutes the entire understanding between the Parties and supersedes all prior discussions.
  • Amendment: Any amendment must be in writing and signed by both Parties.
  • Severability: If any provision is invalid, the remaining provisions shall continue in full force.
  • Force Majeure: Neither Party shall be liable for failure to perform due to events beyond their reasonable control.
  • Relationship: The Parties are independent contractors. Nothing in this Agreement creates any employment, partnership, agency, or joint venture relationship.
